Financial Arbitration – From Procedural Mindset to Market Confidence

Each spring, as the pace of the economy slows to reflect on the future, major questions about institutions, trust, and sustainability become more prominent than ever. For Vietnam, as we enter the Year of the Horse 2026, one of the fundamental questions is: what legal mechanisms will we use to protect capital flows and market confidence?

Resolution No. 222/2025/QH15 of the National Assembly on the pilot establishment of International Financial Centers in Ho Chi Minh City and Da Nang has opened a new chapter in Vietnam’s journey of financial integration. However, experiences from the world’s financial capitals show that a financial center is not measured by the height of its buildings, but by the reliability of its dispute resolution mechanisms. And at that intersection, financial arbitration emerges as a delicate measure of a nation’s legal capacity.

When financial disputes are no longer “ordinary commercial disputes”

If the economy is a living organism, the financial market is its circulatory system. The greater the capital flow and the faster the speed, the more complex the risks and disputes become. Nowadays, financial transactions are not merely simple lending contracts, but the crystallization of derivatives, guarantees, securitization, and multi-layered cross-border contractual structures.

In that space, financial disputes are not merely about right or wrong between two parties, but can have ripple effects on market liquidity, the reputation of financial institutions, and investor confidence. Therefore, the method of resolving financial disputes requires a procedural mindset that goes beyond traditional frameworks.

Arbitration agreements – The “red thread” in the maze of contracts

A visible reality in modern financial transactions is: one deal, many contracts. From credit agreements and security contracts to derivative appendices, each document is a link in the same chain of obligations. When those links point to different dispute resolution mechanisms, the risk of “fragmented jurisdiction” becomes a real legal hazard.

International experience shows that “harmonizing” arbitration agreements and allowing the arbitral tribunal to access the entire transaction structure through a consolidated reading mechanism is a strategic solution. Not only does it save time and cost, but this approach also ensures that the economic substance of the transaction is viewed comprehensively rather than being divided by formal boundaries.

In the context of Vietnam aiming to become a destination for strategic capital flows, the ability to resolve disputes consistently and coherently is the strongest message sent to the international investment community.

“Arbitrability” – The balance between freedom and protection

At a deeper level of financial arbitration lies the issue of arbitrability. It is not only a question of whether a dispute “can be brought to arbitration,” but also of how much the State is willing to grant autonomy to the market.

For professional financial transactions between parties with equal capacity and understanding, arbitration should be regarded as a free space for the will of agreement. However, in the realm of retail finance, where weaker parties appear, the State’s protective role becomes essential to ensure that arbitration is not used as a tool to diminish access to justice.

Defining a transparent boundary between the protection of public order and the respect for freedom of contract will determine the stability of the legal environment. A boundary too narrow may make the market hesitant; too broad, and it may erode social trust. This is the equation that Vietnam must solve with both caution and decisiveness.

Expert witnesses – The voice of financial reality

In financial disputes, the law cannot stand alone. Arbitral tribunals need expert witnesses as “interpreters” between the language of the market and the language of the law. Valuation models, trading algorithms, or derivative structures can only be properly understood when illuminated by deep professional expertise.

Along with that, “soft law” standards such as the IBA Rules or ISDA practices have been creating a common foundation, helping arbitral awards transcend the boundaries of individual legal systems to gain broader recognition. This is precisely what makes arbitration attractive in the world’s leading financial centers.

Conclusion: Arbitration and the Spring of Confidence

Building an International Financial Center is a long journey that requires more than preferential policies or investment commitments. It is a journey to build legal trust – an intangible asset, yet the most powerful force in the market.

A modern, flexible, and principled financial arbitration mechanism not only helps resolve disputes but also contributes to shaping Vietnam’s image as a safe and transparent destination for long-term capital. And perhaps, this is also the spirit that Spring reminds us of: every sustainable development begins with trust.
